Being treated as defenceless?

In the charging rules one section states "treated as defenceless".
In game terms, what exactly does this mean?

I assume it means you can't parrry, but are there further penalties on the defender or bonuses for the attacker?

I assume so, just that the attacker gets an automatic CM on a successful hit. I would only apply further penalties if the target was unaware, prone, incapacitated - defenceless I think just means no parry of evade.
